1. INTRODUCTION
Open Air Hubs (“Open Air Hubs”, “we”, “us”, or “our”) operates a South African digital consultation platform connecting clients with qualified professionals across multiple service categories.
These Terms apply to:
• Website visitors
• Registered clients
• Registered professionals
• Any individual or entity using the platform
Open Air Hubs acts solely as an intermediary technology platform facilitating bookings, communication, and digital consultations between users.

3. DEFINITIONS
• Platform refers to Open Air Hubs and all related digital services.
• Client refers to a user booking services from professionals.
• Professional/Consultant refers to a qualified individual offering services on the platform.
• Booking refers to a scheduled appointment created on the platform.
• Session refers to a consultation taking place through Open Air Hubs.
• Token refers to the digital platform credit used to purchase services.
• Administrative Fee refers to the platform fee charged per consultation session.
• User refers collectively to clients, consultants, and platform visitors.
4. ELIGIBILITY
Users must be at least 18 years of age to register and independently use the Open Air Hubs platform.
Individuals under the age of 18 years may access services on the platform only with the consent and supervision of a parent or legal guardian.
Users who are 17 years old or younger may not create independent accounts, enter into binding agreements, book consultations, or participate in services without the express consent of a parent or legal guardian.
For educational services, family consultations, group consultations, or any consultation involving minors, the parent or legal guardian is responsible for:
- Providing consent for participation
- Supervising the minor where appropriate
- Ensuring that the information provided during registration and booking is accurate
- Accepting these Terms & Conditions on behalf of the minor.
Where a consultation involves multiple participants, including family members or minors, Open Air Hubs may require confirmation that all participants have consented to participate or that consent has been provided by a parent or legal guardian where legally required.
By using the platform, users confirm that:
- The information provided is accurate and truthful
- They are legally capable of entering into binding agreements, where applicable
- They have obtained all necessary parental or legal guardian consent where required
- They will comply with all applicable South African laws and regulations
- They agree to abide by these Terms & Conditions and all applicable platform policies.
5. NATURE OF THE PLATFORM
Open Air Hubs operates as an intermediary technology platform connecting clients and independent consultants.
Open Air Hubs:
• Does not employ consultants
• Does not supervise professional advice given during consultations
• Does not guarantee consultation outcomes
• Does not guarantee uninterrupted platform availability
Consultants remain solely responsible for:
• Their qualifications
• Their conduct
• Advice and services provided
• Compliance with laws and industry regulations
6. VERIFICATION & COMPLIANCE
To promote trust and safety, Open Air Hubs may conduct:
• Identity verification
• Qualification verification
• Professional registration checks
• Ongoing compliance reviews
Open Air Hubs reserves the right to suspend or terminate accounts where:
• Fraud is suspected
• False information is submitted
• Misconduct occurs
• Platform policies are violated
• Applicable laws are breached
7. TOKEN SYSTEM & PAYMENTS
Open Air Hubs uses a Token-based system for platform transactions.
Tokens:
• Are purchased by clients in advance
• Are used exclusively on the platform
• Are not legal tender
• Are non-transferable
• Hold no monetary value outside the platform
Consultation rates are standardised by Open Air Hubs in alignment with market-related pricing.
Clients will be charged an additional 5 Tokens per consultation session as an administrative fee.
Consultants receive 75% of consultation revenue while Open Air Hubs retains 25% for operational and administrative purposes.
7.1 FOUNDING CLIENT DISCOUNT PROGRAMME
As part of its launch and growth strategy, Open Air Hubs may offer promotional incentives to early platform adopters.
The first 10,000 registered clients on the platform may qualify for a 20% discount on consultation fees across eligible services. The purpose of this initiative is to reward early users who support the growth and development of the Open Air Hubs platform. 1 token is equivalent to R10.71 in rand value.
Discount Application:
The 20% discount will be applied automatically to qualifying consultation bookings made by eligible clients. The discount applies only to consultation fees and does not apply to any applicable administrative fees or other charges unless otherwise stated by Open Air Hubs.
7.2 Consultant Compensation
Consultants will not be financially disadvantaged by the Founding Client Discount Programme.
Where a qualifying discount is applied, Open Air Hubs may utilise a portion of the administrative fees collected through the platform to subsidise the discount and ensure that consultants continue to receive their full commission entitlement in accordance with the platform's payment structure.
7.3 Programme Limitations
Open Air Hubs reserves the right to:
- Determine eligibility for the programme
- Amend or discontinue the programme at any time
- Introduce additional qualifying criteria where necessary
- Prevent abuse, manipulation, or fraudulent use of the promotion.
7.4 No Cash Value
The Founding Client Discount Programme is promotional in nature and may not be exchanged for cash, transferred between users, or redeemed outside of the Open Air Hubs platform.
7.5 Token Validity
Tokens purchased or earned on the Open Air Hubs platform do not expire and will remain available in the user's account unless otherwise removed in accordance with these Terms & Conditions or platform policies.
8. COMMISSION PAYMENTS
Open Air Hubs consultants earn commission from successfully completed consultation sessions conducted through the platform.
Consultants will receive 75% of consultation revenue, while Open Air Hubs retains 25% for operational, administrative, platform management, marketing, development, and growth purposes.
8.1 Pay Date
Consultants will be paid on the 25th of every month for all eligible commission earned from completed consultation sessions. Payment will reflect in the consultant's nominated bank account subject to the processing times and procedures of the consultant's banking institution. Open Air Hubs shall not be held responsible for delays caused by banking institutions or payment processing systems.
Where the 25th falls on a weekend, public holiday, or banking system interruption, payment will be processed on the next available business day.
8.2 Payment Verification
Prior to payment processing, Open Air Hubs reserves the right to verify:
- Completed consultation sessions
- Consultant compliance with platform policies
- Accuracy of banking information
- Any outstanding disputes, investigations, or compliance concerns.
Open Air Hubs may withhold payment until any verification process has been completed.
8.3 Payment Processing Fee
A processing fee of R5.00 will be deducted from each monthly commission payment made to consultants.
This fee contributes towards banking, payment processing, and administrative costs associated with facilitating consultant payments.
8.4 Banking Information
Consultants are responsible for ensuring that their banking details are accurate and kept up to date at all times. Open Air Hubs will not be held responsible for payment delays, failed payments, or losses resulting from incorrect banking information supplied by the consultant.
8.5 Payment Conditions
Only completed consultation sessions that comply with Open Air Hubs policies and procedures will qualify for commission payment.
Open Air Hubs reserves the right to withhold, adjust, or reverse commission payments where there is evidence of:
- Fraudulent activity
- Misrepresentation
- Abuse of the platform
- Violation of platform policies
- Consultation disputes requiring investigation.
9. CLIENT AND CONSULTANT REFERRAL REWARD PROGRAMME
At Open Air Hubs, we believe great experiences are worth sharing. To encourage the growth of our community, Open Air Hubs may offer referral rewards to eligible clients and consultants who successfully introduce new users to the platform.
9.1 Client Referral Reward Programme
An existing client may qualify for a referral reward by referring a new client to the Open Air Hubs platform.
To qualify for the referral reward:
- The referring client must have successfully completed a minimum of five (5) consultation sessions through the Open Air Hubs platform.
- The referred client must register on the platform using the referral details provided by the referring client.
- The referred client must successfully complete a minimum of five (5) paid consultation sessions on the platform.
- All consultations must be genuine, completed, and conducted in accordance with Open Air Hubs policies and procedures.
- The referral must be verified and approved by Open Air Hubs.
Once all qualifying requirements have been met and verified, the referring client will receive a reward of one hundred (100) Tokens.
At the current Token value of R10.71 per Token, the reward is equivalent to R1,071 in platform value.
Important Information
- The 100 Token reward will be credited directly to the referring client's Open Air Hubs account.
- Referral Tokens may only be used on the Open Air Hubs platform.
- Referral Tokens do not expire.
- Referral Tokens cannot be exchanged for cash.
- Referral Tokens cannot be transferred, sold, assigned, or exchanged with another client or user.
Open Air Hubs reserves the right to amend the Token value from time to time where necessary.
9.2 Consultant Referral Reward Programme
An existing consultant may qualify for a referral incentive of R1,000 for referring a new consultant to the Open Air Hubs platform.
To qualify for the referral incentive:
- The referring consultant must have successfully completed a minimum of one (1) consultation session through the Open Air Hubs platform.
- The referred consultant must successfully complete the Open Air Hubs onboarding and verification process.
- The referred consultant must complete a minimum of five (5) consultation sessions through the platform.
- All consultations must be genuine, completed, and conducted in accordance with Open Air Hubs policies and procedures.
- The referral must be verified and approved by Open Air Hubs.
The referral incentive will only become payable once all qualifying requirements have been met and verified by Open Air Hubs.
9.3 Referral Programme Integrity
Open Air Hubs reserves the right to investigate, reject, suspend, withhold, or revoke any referral reward or incentive where there is evidence of:
- Fraudulent activity
- Misrepresentation
- Duplicate accounts
- Artificial bookings or consultations
- Abuse of the referral programme
- Breaches of platform policies or
- Any activity intended to unfairly manipulate or benefit from the referral programme.
Open Air Hubs reserves the right to amend, suspend, or terminate the referral reward programme at any time at its sole discretion.
The purpose of the referral programme is to reward loyal clients and active consultants while supporting the sustainable growth of a trusted community of professionals and clients across South Africa.
10. SARS & TAX RESPONSIBILITIES
Consultants operate as independent contractors and remain solely responsible for:
• Income tax
• Provisional tax
• VAT where applicable
• SARS submissions
• Statutory compliance obligations
Open Air Hubs does not deduct PAYE or make tax payments on behalf of consultants.
11. BOOKINGS & CANCELLATIONS
Bookings are subject to consultant availability and platform procedures.
Clients and consultants are expected to honour confirmed bookings, communicate professionally, and minimise unnecessary cancellations.
10.1 Client Cancellation Policy
Clients may cancel a booking up to two (2) hours before the scheduled consultation.
Cancellation with a Valid Reason:
Where a cancellation is made at least two (2) hours before the consultation, the client will receive a full refund of all Tokens used for the booking, excluding any non-refundable administrative fees where applicable.
Cancellation without a Valid Reason:
Where a cancellation is made at least two (2) hours before the consultation without a valid reason, a deduction of twenty-five percent (25%) of the consultation Tokens will apply.
Late Cancellation:
Where a cancellation is made less than two (2) hours but more than an (1) hour before the scheduled consultation without a valid reason, a deduction of fifty percent (50%) of the consultation Tokens will apply.
Any cancellation made less than one (1) hour before the scheduled consultation without a valid reason will result in the forfeiture of one hundred percent (100%) of the Tokens used for that booking. No refund or credit will be provided in respect of the cancelled session.
Open Air Hubs reserves the right to determine whether a reason provided for cancellation is reasonable and valid.
10.2 Consultant Non-Attendance
Where a consultant fails to attend a scheduled consultation without a valid reason, the affected client will be entitled to a full refund of all Tokens used for that booking.
Failure by a consultant to attend a confirmed consultation may result in disciplinary action in accordance with Open Air Hubs policies and procedures.
Disciplinary measures may include:
- Verbal warnings
- Written warnings
- Temporary suspension
- Permanent removal from the platform
Open Air Hubs reserves the right to investigate each incident before determining the appropriate corrective action.
Clients and consultants are expected to:
• Honor confirmed bookings
• Communicate professionally
• Minimise unnecessary cancellations
Cancellation penalties may apply depending on timing and circumstances.
Administrative fees remain non-refundable.
12. REFUND POLICY
Refunds, where applicable:
• May be processed as Tokens
• May be returned to the original payment method where legally required
Refund processing timelines may vary depending on banking institutions and payment providers.
Open Air Hubs reserves the right to deny refunds in cases involving fraud, abuse of the platform, or violation of platform policies.
13. PROFESSIONAL CONDUCT
PERFORMANCE MANAGEMENT, DISCIPLINARY PROCESS & ACCOUNT TERMINATION
Open Air Hubs is committed to maintaining a professional, reliable, and high-quality service environment for all clients and consultants.
To protect the integrity of the platform and ensure a positive client experience, consultant performance may be monitored and reviewed on an ongoing basis.
Performance reviews may be based on:
- Attendance records
- Punctuality
- Client feedback
- Professional conduct
- Communication standards
- Platform compliance
- Service quality
- Responsiveness to clients and platform communications
13.1 Poor Performance
Poor performance may include, but is not limited to:
- Repeated late attendance for consultations
- Repeated failure to attend booked sessions
- Consistently poor client feedback
- Failure to respond to platform communications
- Unprofessional conduct during consultations
- Failure to maintain professional standards
- Poor communication with clients
- Repeated cancellations
- Failure to comply with platform policies
Where poor performance is identified, Open Air Hubs may initiate corrective measures to assist consultants in improving their performance.
13.2 Informal Coaching & Support
Where appropriate, Open Air Hubs may first engage with the consultant to:
- Discuss identified concerns
- Provide guidance and support
- Clarify expectations
- Develop an improvement plan
The purpose of this process is to assist consultants in meeting platform standards before formal disciplinary action becomes necessary.
13.3 Formal Disciplinary Process
Where concerns persist or where misconduct occurs, the following disciplinary process may apply:
Stage 1: Verbal Warning
A verbal warning may be issued for minor first-time offences, including:
- Late attendance
- Minor breaches of platform procedures
- Failure to respond to communications
- Isolated complaints
The consultant will be informed of the concern and expected corrective action.
Stage 2: Written Warning
A written warning may be issued where:
- Previous concerns remain unresolved
- Similar incidents are repeated
- Performance fails to improve
The written warning will outline:
- The nature of the concern
- Expected improvements
- Required corrective action
- Review timelines
Stage 3: Final Written Warning
A final written warning may be issued where:
- Significant concerns remain unresolved
- Previous warnings have not resulted in improvement
- The consultant continues to breach platform standards
Failure to improve following a final warning may result in suspension or termination.
Stage 4: Suspension
Open Air Hubs may temporarily suspend a consultant account where:
- Serious concerns require investigation
- Client safety may be affected
- Multiple policy violations have occurred
- Platform reputation may be at risk
During suspension:
- The consultant profile may become inactive
- New bookings may be restricted
- Payments may be temporarily withheld pending investigation
Stage 5: Account Termination
Where improvement is not achieved or serious misconduct occurs, Open Air Hubs may permanently terminate a consultant account.
Termination may occur with or without prior warnings depending on the severity of the incident.
13.4 Immediate Suspension or Termination
Open Air Hubs reserves the right to immediately suspend or terminate a consultant account without following the progressive disciplinary process where serious misconduct occurs.
This includes but is not limited to:
- Fraud or attempted fraud
- Submission of false qualifications
- Identity misrepresentation
- Theft
- Corruption
- Harassment
- Discrimination
- Hate speech
- Abuse of clients
- Threatening behaviour
- Confidentiality breaches
- POPIA violations
- Soliciting clients outside the platform without authorisation
- Criminal conduct
- Actions that may bring Open Air Hubs into disrepute
13.5 Consultant Non-Attendance
Failure to attend a confirmed consultation without a valid reason is considered a serious breach of consultant responsibilities.
Where a consultant fails to attend a scheduled consultation:
- The client may receive a full refund of Tokens used for the booking
- The incident will be recorded on the consultant's profile
- A disciplinary investigation may be initiated
- Repeated non-attendance may result in suspension or termination.
13.6 Right of Review
Before a final decision is made, Open Air Hubs may provide the consultant with an opportunity to explain their conduct or provide supporting information.
Open Air Hubs reserves the final right to determine appropriate disciplinary action in the best interests of the platform, its clients, and its consultants.
14. POPIA & CONFIDENTIALITY
Open Air Hubs processes personal information in accordance with the Protection of Personal Information Act (POPIA).
Users consent to:
• Collection of relevant information
• Secure storage of information
• Verification procedures
• Processing necessary for platform operations
Users and consultants may not disclose confidential information without authorisation.
14.1 Session Recording Consent
To promote quality assurance, dispute resolution, training, compliance, and platform safety, all consultation sessions conducted through Open Air Hubs may be automatically recorded.
By registering, creating an account, booking a consultation, accepting a consultation, or otherwise using the platform, users expressly consent to the recording, storage, and processing of consultation sessions in accordance with applicable laws, including the Protection of Personal Information Act (POPIA).
Open Air Hubs will take reasonable measures to protect recorded information and restrict access to authorised personnel only. Clients and Consultants will have access to their consultation recording.
15. INTELLECTUAL PROPERTY
All Open Air Hubs branding, systems, content, graphics, logos, text, and intellectual property remain the exclusive property of Open Air Hubs unless otherwise stated.
Users may not reproduce, distribute, modify, copy, or exploit platform content without prior written authorisation.
16. LIMITATION OF LIABILITY
To the fullest extent permitted by law, Open Air Hubs shall not be liable for:
• Consultation outcomes
• User conduct
• Technical interruptions
• Connectivity failures
• Loss of profits
• Indirect or consequential damages
• Third-party platform issues
The platform is provided on an “as available” basis without guarantees of uninterrupted service.
17. FORCE MAJEURE
Open Air Hubs shall not be liable for delays or failures caused by events beyond reasonable control including:
• Power outages
• Internet failures
• Cyber attacks
• Natural disasters
• Government actions
• Civil unrest
• System failures
18. SUSPENSION & TERMINATION
Open Air Hubs reserves the right to suspend or terminate user accounts where:
• Terms are violated
• Fraud is suspected
• Harmful conduct occurs
• Legal obligations require action
Users may stop using the platform at any time.
Termination does not remove liabilities or obligations accrued prior to termination.
19. GOVERNING LAW
These Terms & Conditions are governed by the laws of the Republic of South Africa.
Any disputes arising from use of the platform shall first be addressed through good-faith negotiation.
Where disputes cannot be resolved informally, parties may proceed to mediation or arbitration in South Africa in accordance with applicable laws.
20. CHANGES TO TERMS
Open Air Hubs reserves the right to amend these Terms & Conditions at any time.
Material changes may be communicated through:
• Email
• Website notices
• Platform notifications
Continued use of the platform constitutes acceptance of updated Terms.
20.1 ACCEPTANCE OF TERMS
By registering an account, accessing the platform, booking a consultation, accepting consultations, or otherwise using Open Air Hubs, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions and all applicable platform policies.
Continued use of the platform constitutes ongoing acceptance of these Terms & Conditions and any future amendments made by Open Air Hubs.
